This electronic record is generated by a computer system and does not require any physical or digital signatures.

This document is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries guidelines) Rules, 2011 that require publishing the rules and regulations, privacy policy and Terms of Use for access or usage of www.identyti.com technology offering (website).

Your use of the Website and services and tools are governed by the following terms and conditions (“Terms of Use”) as applicable to the Website including the applicable policies which are incorporated herein by way of reference. If You transact on the Website, You shall be subject to the policies that are applicable to the Website for such transaction. By mere use of the Website, on understanding the terms and conditions including the policies herein, you will shall be trigger contracting obligations.

HALOSIS INDIA PRIVATE LIMITED, a company incorporated under the Companies Act, 1956 and having its registered office at 1st Floor, H. NO. 2232, Sector - 12, Sonipat, Haryana - 131001 (hereinafter referred to as “Identyti or Identyti.com”) of the ONE PART,

AND

The subscribers or users of the platform are herein referred to as the “Licensee” which expression shall, unless it be repugnant to the context or meaning thereof, means and includes [his/her heirs, executors, administrators, legal representatives/ the partners or partner for the time being of the firm, the survivors or survivor of them and the heirs, executors, administrators of the last surviving partner and his or her assigns/ its successors and assigns]) of the OTHER PART.

Identyti and Licensee shall hereinafter be referred to collectively as “Parties” and individually as “Party”.

Intellectual Property

All materials (including the organization and presentation of such material) on this Website (the 'Content') are the property of identyti.com and may be protected by intellectual property laws including laws relating to copyrights, trade-marks, trade-names, internet domain names, and other similar rights.

The Content may only be used and copied for your own, non-commercial, personal or educational purposes, provided that the Content are not modified and that copyright and other intellectual property notices are not deleted. You may not create derivative works from or otherwise exploit the Content in any way.

CONFIDENTIALITY

The Parties expressly acknowledge that all Confidential Information is to be treated by the Licensee as confidential. During the Term of this Agreement or thereafter, the Licensee shall not in any way make use of any Confidential Information to the disadvantage of Identyti.com or divulge any Confidential Information to anyone other than directors, officers and employees of the Licensee or persons designated thereby on a “need to know” basis unless or until such Confidential Information has been publicly released by Identyti.com or becomes generally known to the public (including the trade) from other sources or is required to be disclosed by law.

Limitations

You agree not to copy, republish, frame, link to, download, transmit, modify, adapt, create derivative works based on, rent, lease, loan, sell, assign, distribute, display, perform, license, sublicense or reverse engineer the Website or any of the Content. In addition, you agree not to use any data mining, robots or similar data and/or image gathering and extraction methods in connection with the Website or Content.

Content Usage

Certain Access & Content will only be made available to users who pay identyti.com a fee for such Content and/or enter into a subscription agreement or other use agreement for that particular Content. Unless you enter into a Purchase / Subscription Agreement with Identyti.com for usage of its services or content, you may not download, distribute, display and/or copy any Content. You may not remove any watermarks or copyright notices contained in the Content. Identyti.com reserves the right to revoke this license at any time for any reason.

GENERAL RULES OF CONDUCT

You acknowledge and agree that:

1. Your use of this Site and the Services, including any content you submit, will comply with this Agreement and all applicable local, state, national and international laws, rules and regulations.
2. You will not collect or harvest (or permit anyone else to collect or harvest) any User Content (as defined below) or any non-public or personally identifiable information about another User or any other person or entity without their express prior written consent or other applicable legal ground where allowed by applicable law.
3. You will not use this Site or the Services in a manner (as determined by Identyti at its sole and absolute discretion) that:
• Is illegal, or promotes or encourages illegal activity;
• Promotes, encourages or engages in child pornography or the exploitation of children;
• Promotes, encourages or engages in terrorism, violence against people, animals, or property;
• Promotes, encourages or engages in any spam or other unsolicited bulk email, or computer or network hacking or cracking;
• Promotes, encourages or engages in the sale or distribution of prescription medication without a valid prescription;
• Infringes the intellectual property rights of another User or any other person or entity;
• Violates the privacy or publicity rights of another User or any other person or entity, or breaches any duty of confidentiality that you owe to another User or any other person or entity;
• Interferes with the operation of this Site or the Services found at this Site;
• Contains or installs any viruses, worms, bugs, Trojan horses, Cryptocurrency Miners or other code, files or programs designed to, or capable of, using many resources, disrupting, damaging or limiting the functionality of any software or hardware; or
• Contains false or deceptive language, or unsubstantiated or comparative claims, regarding identyti or identyti’s Services.
4. You will not copy or distribute in any medium any part of this Site or the Services, except where expressly authorized by identyti .
5. You will not modify or alter any part of this Site or the Services found at this Site or any of its related technologies
6. You will not access identyti Content (as defined below) or User Content through any technology or means other than through this Site itself, or as identyti may designate.
7. You agree to back-up all of your User Content so that you can access and use it when needed. identyti does not warrant that it backs-up any Account or User Content, and you agree to accept as a risk the loss of any and all of your User Content.
8. You will not re-sell or provide the Services for a commercial purpose, including any of identyti’s related technologies without identyti’s express prior written consent.
9. You agree to provide government-issued photo identification and/or government-issued business identification as required for verification of identity when requested.
10. You are aware and do not object that identyti may from time-to-time call you about your Account and/or purchased Services. You will be informed about recording of such calls, purposes thereof, as well as any other information will be provided to you as required by applicable law. You further acknowledge and agree that, to the extent permitted by applicable law, any such recording(s) may be submitted as evidence in any legal proceeding, in which identyti or identyti’s affiliate is a party. 

Identyti reserves the right to modify, change, or discontinue any aspect of this Site or the Services, including without limitation prices and fees for the same, at any time.

Restrictions and Termination

Identyti.com may block, restrict, disable, suspend or terminate your access to all or part of the Website and Content at any time in Identyti.com's discretion, without prior notice or liability.

Templates

Some templates are provided by both Identyti and some by third-party designers. For 3rd party designers templates, Identyti takes no responsibility for the quality, safety, or legality of the items. We do not warrant that the items or any member content, code, data, or materials available on or via the Identyti do not infringe the intellectual property rights of a third party. If you believe that any content posted on the Identyti Website infringes copyright, you may send us a notification including all relevant information.

Identity respects third party’s copyright, and it is our policy to respond to all notifications about copyright infringement as established by applicable regulations. Once the notification, complying with these Guidelines is received, Identyti may remove or disable access to the allegedly infringing material or adopt further action that we consider appropriate, including disabling a user’s account. When taking such measures, Identyti will attempt to contact the party that posted the content to make any statement they deem appropriate according to applicable regulations.

Global Distribution System

One of the marquee features of identyti.com platform is that by default all your events, workshops, products etc. will be pushed into different marketplaces or re-sellers site on an affiliate commission model. But in case you want your events, workshops, products to be only sold on your website (and not on GDS and through GDS on other sites), you can go to settings and disable GDS as an option.

Warranties and Disclaimers

This Website and the Content are provided "as is" without representation, warranty or condition of any kind, either express or implied, including, but not limited to the implied representations, warranties or conditions of merchantability, or fitness for a particular purpose. Identyti.com does not represent or warrant that this web site or the materials will meet your requirements or that their use will be uninterrupted or error free.

Indemnification

You agree to defend, indemnify and hold harmless Identyti.com, its subsidiaries, affiliates, employees, agents, third party information providers, Submitters and independent contractors against any claims, damages, costs, liabilities and expenses (including, but not limited to, reasonable attorneys' fees) arising out of or related to your conduct, your use or inability to use the Identyti.com website, your breach or alleged breach of the Website Terms of Use or of any representation or warranty contained herein, your unauthorized use of the Identyti.com, or your violation of any rights of another.

Refund Policy

We strive to offer high-quality products and support, and we understand that there are rare circumstances when you may request a refund. We always offer the 90-day (ninety-day) Free Trial with full features and unlimited Free Starter Edition, during which you can try the Identyti's functionality and features before the purchase.

You can request a refund within 7 days by contacting us on email or phone. Please be prepared to describe why you decided to request a refund and explain the actual reasons, and we will review your request.

Jurisdiction

You hereby consent to the personal jurisdiction of the state courts located within the state of Haryana. You agree that service of process in any actions, controversies and disputes arising from or relating to these Terms of Use may be effected by mailing a copy thereof by registered or certified mail (or any substantially similar form of mail), postage prepaid, to the other party however, nothing herein shall affect the right to effect service of process in any other manner permitted by law. This agreement shall be construed neither against nor in favor of any party, but rather in accordance with the fair meaning of the language hereof. The invalidity or unenforceability of any part of this agreement shall not affect the validity or enforceability of the balance hereof.

• Dispute Resolution; Jurisdiction: If any dispute arises between the Parties during the subsistence of this Agreement or thereafter, in connection with the validity, interpretation, implementation or alleged breach of any provision of this Agreement, the Parties hereto shall endeavor to settle such dispute amicably. In case of such failure, any of the Parties to the dispute shall be entitled to refer the dispute to a sole arbitrator. In case of disagreement as to the appointment of the sole arbitrator, the sole arbitrator shall be appointed in accordance with the Arbitration and Conciliation Act, 1996. The Arbitration proceedings shall be governed by the Arbitration and Conciliation Act, 1996 and the place of arbitration shall be in the state of Haryana.
